I. INTRODUCTION

Ukraine has received financing from the International Bank for Reconstruction and Development (IBRD) in the amount USD 230,00 million under IBRD related Loan Agreement No. 8387-UA (USD 180 million) and CTF related Loan Agreement No. TF016327 (USD 50 million) toward the cost of Ukraine District Heating Energy Efficiency Project (hereinafter - the Project).

The Project will be implemented under general supervision of Ministry of Regional Development, Construction, Housing and Communal Services of Ukraine (hereinafter - Minregion). Minregion created a Central Project Management Unit (hereinafter - CPMU) for day-to-day management and coordination of the Project and provision of assistance to Utility Companies participating in the Project in disbursement issues, financial management, reporting and other Project related activities. CPMU shall be responsible for general coordination of activities and reporting under the Project. The implementation of the Investment Component and day-to-day management of the activities is the responsibility of the UDHEEP Utilities supported by Regional Project Management Units.

Implementation of the Project shall be regulated by the Decree No.70 of the Cabinet of Ministers of Ukraine “On the Procedure of Initiation, Preparation and Implementation of Projects of Economic and Social Development of Ukraine Supported by International Financial Organization” dated 27.01.2016, other legal acts of the Cabinet of Ministers of Ukraine, Orders of Minregion, Project Operations Manual, etc.

Public Utility of District Heating Networks "Ternopilmiskteplokomunenerho", City of Ternopil received a portion of the financing in the amount of USD 24,67 million equivalent toward the cost of the reconstruction of municipal district heating system and intends to apply part of the proceeds for the Individual Consultancy Services – role of Individual Consultant for Preparation of Bidding Documents and Bidding Procedure support for the reconstruction of heating networks in the city of Ternopil (hereinafter - “the Services”).

I. OBJECTIVE AND SCOPE OF SERVICES

The Individual Consultant will work in close collaboration with the Regional Project Implementation Unit (RPIU) of Public Utility of District Heating Networks "Ternopilmiskteplokomunenerho", City of Ternopil and CPMU and shall prepare the bidding documents for acquisition of contract, to accompany the Client during the period of bid submission with the stakeholders, to provide methodological assistance in preparation of the Report of the submitted bids evaluation with the including technical part and in the preparation of the project of the Contract concerning the tasks in according with the rules and procedures of the World Bank.

The Individual Consultant will be required to complete the tasks No.1- No.4.

TASK 1.

Preparation of draft of complete bidding document, including all its related parts such as Bidding procedures, Conditions of Contract and Contract forms – in English language and Works requirements – in English and Ukrainian languages for Bidding procedures No.UDHEEP-TER-ICB-02 “Reconstruction of District Heating Networks in the City of Ternopil” according to the World Bank standard “Procurement of Small Works” using the Standard Bidding Documents in Ukrainian (will be provided by the Client) and English languages (actual English version available for downloading at the link http://www.worldbank.org/en/projects-operations/products-and-services/brief/procurement-policies-and-guidance#standarddocuments). At the same time, if necessary, the Individual Consultant may ask for another necessary technical documentation available from the Client and which is related to the task.

The draft of bidding document should be approved by the Client and agreed with the CPMU.
In the event of the cogent remarks of the CPMU on the draft bidding document, the Individual Consultant should revise it and correct weaknesses no later than within the three (3) days period.

The agreed with CPMU draft of the PART 2. "Works requirements" in English language of bidding document will be sent to the World Bank for approval. In the event of the World Bank`s remarks on the draft bidding document, an individual Consultant should revise it and correct the deficiencies not later than within the three (3) days period.

The task shall be fully completed before August 15, 2018.

TASK 2.

After the announcement of Procurement No.UDHEEP-TER-ICB-02, Individual Consultant will have to provide support to the Client to the deadline for submission by the expressed interested parties of its bids in the form of consultations and participation in the preparation of explanations to the participants in the procurement process regarding the requests to be sent to the Client, preparation of Minutes of the pre-bid meeting and answers to the questions to be sent, participation and assistance to the Client in the procedure for bids opening and in supplying the relevant Minutes and so on.

If necessary, an Individual Consultant prepares an Amendment to the bidding document for its approval at the CPMU and informing the World Bank.

The task shall be fully completed before September 30, 2018 (will rely on the progress of bidding procedures).

TASK 3.

The Individual Consultant in cooperation with the Client`s evaluation group which is created for the assessment of Bids under the procurement No.UDHEEP-TER-ICB-02, as an appointed member of the evaluation group will have to provide methodological assistance to the Client when preparing the Bid Evaluation Report including technical part.

Evaluation Report in English language should be submitted according to the World Bank standards approved by the Tender Committee of the Client and agreed with the CPMU.

The task shall be fully completed before October 30, 2018 (will rely on the progress of bidding procedures).

TASK 4.

The Individual Consultant should provide assistance and support to the Client in preparation the draft Contract No.UDHEEP-TER-ICB-02 in English language, also, if necessary, to participate in pre-contract negotiations.

The task shall be fully completed before November 15, 2018 (will rely on the progress of bidding procedures).

II. REPORTING

The Individual Consultant for Preparation of Bidding Documents and Bidding Procedure support for the reconstruction of heating networks in the city of Ternopil shall report directly to the head of the Regional Project Management Unit.

(4) Prepared, executed and sent to the CPMU of Bid opening record in English language on competitive bidding No.UDHEEP-TER-ICB-02.

(5) Prepared, executed and sent to the World Bank of Bid opening record in English language on competitive bidding No.UDHEEP-TER-ICB-02.

Task 3 (1) Prepared, approved by the Tender Committee of the Client and agreed with the CPMU evaluation report on procurement No.UDHEEP-TER-ICB-02 in English language.
Task 4

(1) Prepared draft Contract No.UDHEEP-TER-ICB-02 in English language and agreed with the CPMU.

(2) Concluded Contract with the winner of competitive bidding No.UDHEEP-TER-ICB-02.

IV. EDUCATION AND QUALIFICATION REQUIREMENTS

High degree in engineering, procurement, finance or relevant;

Experience of procurement in projects financed by International Financial Institutions at least 2 years (experience in procurement in DH sector will provide a distinct advantage);

Fluent Ukrainian, Russian and Technical English

Advanced PC user

V. LOCATION, DURATION AND REMUNERATION

The services will be required over the period from July 2018 to December 2018 or for any other period of time as agreed by the parties in the city of Ternopil.

The services will be provided according to the Contract with fixed price.

The remuneration of the Consultant will be done in four (4) stages in accordance with the tasks performed.
